Welcome to EXMACHINE. These Terms and Conditions ("Terms" or "AGB") govern the contractual relationship between EXMACHINE UG (haftungsbeschränkt) i. G. ("EXMACHINE", "we", "us") and our corporate clients ("Partner Companies") as well as individual event participants ("Participants").
By booking our services, registering for an event, or accessing our platform, you agree to be bound by these Terms.
1. Scope of Service & Contractual Partners
1.1. EXMACHINE UG (haftungsbeschränkt) i. G. provides an exclusive B2B, HR-supported corporate networking and matchmaking format utilizing masked social interactions, data-driven table structures, and physical event hosting. 1.2. Our services are categorized into two primary pillars:

Standard Corporate Sessions: Joint events gathering shortlisted participants from up to 4 different contracted Partner Companies.

Custom Events: Fully tailored internal corporate networking projects executing private company event formats based on bespoke criteria.
2. B2B Booking, Pricing, and Guaranteed Payment
2.1. Contractual arrangements for event packages are entered into directly with the HR departments or authorized procurement units of our Partner Companies.
2.2. The pricing fees for reserved participant slots, corporate packages, or Custom Events are determined individually and specified in the respective written service contract, official quotation, or booking confirmation issued to the Partner Company. All prices are subject to statutory VAT unless stated otherwise.
2.3. Guaranteed Attendance Payment Rule: Invoicing is executed directly to the Partner Company's corporate entity based on the total number of reserved participant slots agreed upon in the finalized booking confirmation. Because seating layouts, algorithmic configurations, mask distribution, and catering costs are locked in advance, all fees are strictly non-refundable and guaranteed regardless of actual employee attendance, cancellation, or last-minute no-shows.
3. Participation & Eligibility Requirements
3.1. Age Requirement: Participation in any EXMACHINE event is strictly limited to individuals who are aged 18 or older at the time of the event. 3.2. Corporate Affiliation: Participants must be active employees of a contracted Partner Company or explicitly authorized guests of a custom corporate project session. Random external public sign-ups are strictly barred from entry.
4. Event Protocols, Conduct, and Enforcement
4.1. Anonymity Framework: To preserve the psychological safety and open nature of the format, all Participants are required to wear the provided masks during designated interactive sequences and interact exclusively under their assigned pseudonyms (city code names).
4.2. Device and Privacy Policy: To prevent unauthorized documentation, data leaks, or corporate espionage, all mobile devices, smartwatches, and recording equipment must be surrendered to our event staff at the entry check-in. Devices will be securely stored and returned immediately upon conclusion of the event. Violation of this rule results in immediate expulsion without refund to the employer.
4.3. Code of Conduct: EXMACHINE promotes authentic, playful, but responsible social interactions. Any form of harassment, discrimination, intoxication deemed unsafe, or non-consensual behavior will result in immediate exclusion from the venue. We reserve the right to report behavioral violations directly to the respective Partner Company's HR department.
5. Disclaimer on Match Success and Outcomes
5.1. EXMACHINE utilizes algorithmic evaluations to match individuals based on criteria shared by Participants (e.g., salary band, education level, interests, and dealbreakers).
5.2. While our methodology is data-driven, EXMACHINE does not guarantee any specific social outcome, romantic connection, professional networking benchmark, or the long-term success of individual mutual matches. The execution of mutual communication following next-day match notification emails remains entirely at the personal discretion of the Participants.
6. Limitation of Liability (Haftungsbeschränkung)
6.1. EXMACHINE carries comprehensive professional liability insurance covering organizational safety and operational venue management.
6.2. EXMACHINE shall be held liable without limitation for damages caused willfully or by gross negligence by its management, employees, or operational freelancers.
6.3. In cases of minor negligence (leichte Fahrlässigkeit), EXMACHINE is only liable for the breach of essential contractual duties (Kardinalpflichten). In such instances, liability is strictly limited to typical, foreseeable contractual damages.
6.4. EXMACHINE accepts no liability for the personal conduct of individual Participants outside or inside the venue, nor for any third-party items lost or damaged if brought past the designated security check-in.
7. Online Dispute Resolution (ODR)
The European Commission provides a platform for online dispute resolution (ODR), accessible via: https://ec.europa.eu/consumers/odr. We are neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.
8. Governing Law and Jurisdiction
8.1. These Terms and all legal relationships arising from corporate bookings or event participation shall be governed exclusively by the laws of the Federal Republic of Germany.
8.2. If the Partner Company is a commercial entity (Kaufmann) or a legal entity under public law, the exclusive place of jurisdiction for all contractual disputes arising from or in connection with these Terms shall be Berlin, Germany.
9. Severability Clause (Salvatorische Klausel)
Should individual provisions of these Terms be or become invalid or unenforceable, the validity of the remaining provisions shall remain unaffected. The invalid or unenforceable provision shall be replaced by a valid and enforceable provision that comes closest to the economic purpose of the original provision.
